Former TIAA-CREF Senior Vice President and Chief
Counsel Named Executive Director of the
New Pace Law School Directors Institute
WHITE PLAINS, N.Y. – Peter C. Clapman, the
recently retired senior vice president and chief counsel for TIAA-CREF,
where for 32 years he was the chief investment lawyer and head of its
corporate governance program, has been named the new executive
director of the Pace Law School Directors Institute, effective April
1, 2005.
The new Directors Institute offers educational
programs for corporate and not-for-profit directors. Clapman will
develop programs based on his years of experience and extensive
participation in conferences other forums nationally.
“Corporate
governance has been one of the critical issues in the United States
and globally because it has clear relevance to successful long-term
investment returns,” said Clapman. “The recent scandals
demonstrated that reform of the system was necessary. One of these
reforms is the encouragement of director education so that directors
may play the appropriate role in the management process of companies.
It is great that Dean Steven Friedman appreciates the importance of
director education. I am extremely pleased he asked me to be the
leader of such programs at Pace, which has the potential to be a
leader in this field.”
Clapman developed TIAA-CREF global governance policies and strategies,
achieving significant results, primarily through dialogue and quiet
diplomacy. He was among the December 2003 Smart Money list of
the 30 individuals having the most influence in the field of
investments for his work in corporate governance. He was also among
five individuals to be profiled in the Financial Times of
December 15, 2004, for his prominent role in global corporate
governance.
He is a consultant to corporate managements,
boards of directors, and institutional investors in the fields of
global corporate governance and regulation. Clapman is active in many
organizations specializing in corporate governance and director
education in the United States and globally, including the National
Association of Corporate Directors, the University of Delaware, the
Yale School of Management, the Investor Responsibility Research
Center, and the Millstein Commission.
A graduate of Princeton University, Clapman earned his JD from Harvard
Law School. He was elected a member of the American Law Institute
(ALI) in 1993. He is a member of the Primary Markets Group of the
London Stock Exchange, the NASDAQ Listing Council, and was on the
Legal Advisory Committee of the New York Stock Exchange. He is the
immediate past chairman of the International Corporate Governance
Network (ICGN) and currently chairs the Investor Responsibility Task
Force, established by the World Bank Global Corporate Governance
Forum.
Founded in 1976, Pace Law School is a New York Law School with a
